This Terms of Service Agreement (“ToSA”) is a legal agreement between You and Abhyuday
Music Studio Academy
Please read this ToSA agreement carefully before attending the online course and viewing
the recordings and accessing the materials. It provides a licence to use this Abhyuday Music
Studio Academy Course (“Course”) and contains liability disclaimers.
By enrolling in this course, You agree, without reservation to be bound by the terms of this
ToSA. If You do not agree with the terms of this ToSA, please do not proceed forward and
speak with our support team.
By entering the course or watching the LMS videos and/or participating in the Course, You
are confirming Your acceptance of the Course and agreeing to become bound by the terms
of this ToSA agreement.
If You are entering into this ToSA agreement on behalf of a company or other legal entity,
You represent that You have the authority to bind such entity and its affiliates to these terms
and conditions. If You do not have such authority or if You do not agree with the terms and
conditions of this ToSA agreement, do not watch the LMS videos and/or participate in the
Course, and You must not accept this ToSA agreement.
This ToSA agreement shall apply only to the Course presented by Abhyuday Music Studio
Academy herewith regardless of whether other courses are referred to or described herein.
The terms also apply to any updates, supplements, Internet-based services, and support
services for the Course, unless other terms accompany those items on delivery. If so, those
terms apply.
Definitions
In this ToSA the expressions below shall have the meaning assigned to them in this clause,
unless the context requires otherwise:
● “Activate” registering in the Course with the Coupon Code provided by Abhyuday
Music Studio Academy;
● “Full Access” the licence for accessing the Class Recordings, Materials, Documents
associated with this Course;
● “Coupon Code” an unique code provided by Abhyuday Music Studio Academy, which
enables You to Activate the Full Access by entering the code into Course purchase
page and to subsequently Participate in the Course during lifetime;
● “Abhyuday Music Studio Academy” Abhyuday Music Studio Academy;
● “Course” all of the contents of the files and/or other media, including pre recorded
videos, licensed to You by Abhyuday Music Studio Academy, including any Updates;
● “Updates” any modified versions and updates of, and additions to Course;
● “LMS” the course page on the website www.abhyudaymusic.com where the course
videos, lecture videos, materials and DOWNLOADABLES sections are present.
● “Participate” the access, download, watch, copy or get benefit from joining the
Course in accordance with the documentation;
● “You” the final and ultimate participant of Course or the authorised representative of a
company or other legal entity that will be the final and ultimate participant in the
Course, and the company or other legal entity that will be the final and ultimate
participant in the Course, if applicable.
Licence Grant
Abhyuday Music Studio Academy hereby grants You a personal, non-transferable,
non-exclusive licence to participate in the Course on Your devices in accordance with the
terms of this ToSA agreement.
You are permitted to participate in the Course from any device (for example a PC, laptop,
mobile or tablet) under Your control. You are responsible for ensuring Your device meets the
minimum requirements to participate in the Course.
You are not permitted to:
● Edit, alter, modify, adapt, translate or otherwise change the whole or any part of the
Course nor permit the whole or any part of the Course to be combined with or
become incorporated in any other courses or attempt to do any such things
● Reproduce, copy, distribute, resell or otherwise use the Course for any commercial
purpose;
● Allow any third party to use the Course on behalf of or for the benefit of any third
party;
● Use the Course in any way which breaches any applicable local, national or
international law;
● use the Course for any purpose that Abhyuday Music Studio Academy considers is a
breach of this ToSA agreement.
Your Account and Use of the Service or Course
It is required that You create an account in order to receive an access that enables You to
participate in the Course. You agree not to impersonate any person or entity or misrepresent
Your identity or affiliation with any person or entity, including using another person’s
username, password or other account information. You are responsible for the security of
Your password and for any use of Your account.
If there is a fee associated with Your use of Course, You agree to pay that fee. The fee
charged excludes all applicable taxes and currency exchange settlements, India otherwise.
You are solely responsible for paying such taxes or other charges. Abhyuday Music Studio
Academy may suspend or cancel Your access to Course if Abhyuday Music Studio Academy
does not receive payment from You. Suspension or cancellation for non-payment may result
in a loss of access to and use of Your account.
To pay any fees, You will be asked to provide a payment method at the time You sign up with
Abhyuday Music Studio Academy. You agree to keep Your billing account information current
at all times. By providing Abhyuday Music Studio Academy with Your payment method, You
(a) represent that You are authorised to use the payment method that You provided and that
any payment information You provide is true and accurate; and (b) authorise Abhyuday
Music Studio Academy to charge You using Your payment method and to charge You for any
paid feature that You choose to sign up for or use while this Agreement is in effect. You
acknowledge and agree that Abhyuday Music Studio Academy may bill You on a recurring
basis for Services that You purchase on a subscription basis.
Abhyuday Music Studio Academy may change the price it charges for the Services at any
time and will notify You in advance of such changes. If You do not agree to the price change,
You must cancel and stop using Course before the price change takes effect. Unless
otherwise provided by law or by a particular offer, all purchases are final and non-refundable.
Intellectual Property and Ownership
Abhyuday Music Studio Academy shall at all times retain ownership of the Course as
originally participated in by You. The Course (and the copyright, and other intellectual
property rights of whatever nature in the Course, including any modifications made thereto)
are and shall remain the property of Abhyuday Music Studio Academy.
Abhyuday Music Studio Academy reserves the right to grant licences to use the Course to
third parties.
You may not download / distribute / record / reproduce the lecture videos or any associated
video materials from the website of the Course. But you may download materials specified
under the DOWNLOADABLES section in your LMS.
Permitted use and restrictions
In order to be able to participate in the Course and receive Updates, Your computer shall
have access to the Internet.
Maintenance and support
Abhyuday Music Studio Academy will notify You of any available Updates and upgrades.
You will be entitled to receive Updates free of charge during the period of the purchased
Course for the Full Access (monthly, yearly, or lifetime). In the case of monthly and yearly
periods, in order to receive Updates after the period ends, You will need to renew Your
Course for Full Access
Disclaimer
You Participate in this Course at Your own will and the entire risk as to satisfactory quality,
performance and accuracy is with You.
Course and accompanying documentation are provided on an “as is” and “as available”
basis without warranty – express or implied – of any kind, and Abhyuday Music Studio
Academy specifically disclaims the warranty of fitness for a particular purpose. No oral or
written advice given by Abhyuday Music Studio Academy shall create a warranty or in any
way increase the scope of this warranty and You may not rely upon such information or
advice.
Termination
This ToSA agreement is effective from the date You Activate the Course and shall continue
until terminated. You may terminate it at any time upon written notice to Abhyuday Music
Studio Academy.
It will also terminate immediately if You fail to comply with any term of this ToSA agreement.
Upon such termination, the licences granted by this ToSA agreement will immediately
terminate and You agree to stop all access and use of the Course. The provisions that by
their nature continue and survive will survive any termination of this ToSA agreement.
Governing Law
This ToSA agreement, and any dispute arising out of or in connection with this ToSA
agreement, shall be governed by and construed in accordance with the laws of India.
